PUBLIC AGREEMENT (OFFER)

Agreement for the user on ordering, purchase and sale, and delivery of «Sushi 3303» products

This agreement is the official and public offer of the Seller to conclude a contract for the sale of the Product presented on the website https://3303.ua. This agreement is public, i.e. in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, sole proprietor) without giving preference to one buyer over another. By concluding this Agreement, the buyer fully accepts the terms and procedure for placing an order, payment for products, their delivery and return, liability for fraudulent orders, and all other terms of the agreement. The agreement is considered concluded from the moment of clicking the «Place Order» button on the order page in the «Cart» section and the Buyer receiving order confirmation from the Seller in electronic form.

2. Subject of the Agreement.

2.1. The Seller undertakes to transfer the Product to the Buyer's ownership, and the Buyer undertakes to pay for and accept the Product under the terms of this Agreement.

2.2. This Agreement applies to all types of Products presented on the Website, as long as such offers with descriptions are present in the Seller's Website catalog.

3. Placing an Order.

3.1. The Seller ensures the availability of Products presented on its Website. Photos accompanying the Product may differ slightly from the actual appearance of the Product. The Product description/composition does not claim to be exhaustive and may contain typographical errors.

3.2. The Buyer independently places an order on the Seller's Website through the «Cart» form or by placing an order by the phone number specified on the Seller's Website.

3.3. The Seller has the right to refuse to transfer the order to the Buyer if the information provided by the Buyer when placing the order is incomplete or raises suspicion about its validity, or if the order value is less than the minimum amount specified on the Website.

3.4. When placing an order on the Seller's Website, the Buyer undertakes to provide the following mandatory information required by the Seller for order fulfillment:

3.4.1. Contact phone number

3.4.2. Address for delivery of the Product (if delivery to the Buyer's address)

3.4.3. Payment method

3.5. The name, quantity, and price of the Product selected by the Buyer are specified in the Buyer's cart on the Seller's website.

3.6. When placing an order through the Seller's operator (clause 3.2 of this Offer), the Buyer undertakes to provide the information specified in clause 3.4 of this Offer.

3.7. The Buyer's acceptance of the terms of this Offer is carried out by the Buyer entering the relevant data in the cart on the Seller's Website (clause 3.4 of this Offer) and clicking the «Submit Order» button, or when placing an Order through the operator. After placing an Order through the Operator, the Buyer's data is entered into the Seller's database.

3.8. The Buyer is responsible for the accuracy of the information provided when placing the Order.

3.9. By concluding the Agreement, i.e. accepting the terms of this offer (the proposed terms for purchasing the Product), by placing an Order, the Buyer confirms the following:

a) The Buyer is fully and completely familiar with and agrees to the terms of this offer

b) They give consent to the collection, processing and transfer of personal data; consent to the processing of personal data is valid throughout the entire term of the Agreement, as well as for an unlimited period after its expiration. In addition, by concluding the agreement, the Buyer confirms that they have been informed (without additional notice) of the rights established by the Law of Ukraine «On Personal Data Protection», of the purposes of data collection, and that their personal data is transferred to the Seller for the purpose of fulfilling the terms of this Agreement and conducting settlements. The Buyer also agrees that the Seller has the right to provide access to and transfer their personal data to third parties without any additional notice to the Buyer for the purpose of fulfilling the Buyer's order. The scope of the Buyer's rights as a personal data subject in accordance with the Law of Ukraine «On Personal Data Protection» is known and understood to them.

4. Price and Delivery of the Product.

4.1. Prices for Products and services are determined by the Seller independently and are indicated on the Seller's Website. All Product prices are indicated on the website in hryvnias.

4.2. Prices for Products and services may be changed by the Seller unilaterally depending on market conditions. However, the price of an individual unit of the Product, the cost of which has been fully paid by the Buyer, cannot be changed by the Seller unilaterally.

4.3. The cost of the Product indicated on the Seller's Website includes the cost of delivering the Product to the Buyer within the city specified on the Website. Delivery beyond the city specified on the Website is agreed separately with the Seller's operator.

4.4. The delivery time is from 90 minutes from the moment of Order and payment of the Product, if the Product is paid for immediately through the Seller's Website.

4.5. The Buyer's obligation to pay for the Product is considered fulfilled from the moment funds are received by the Seller or payment at the place of receipt of the Product, if the Buyer picks up the Product themselves.

4.6. Settlements between the Seller and the Buyer for the Product are made by the methods specified on the Seller's website.

4.7. Upon receipt of the product, the Buyer must, in the presence of the Seller's representative, verify the compliance of the Product with qualitative and quantitative characteristics. If the Buyer discovers defects regarding the quantity or quality of the Product, the Seller is obliged to rectify them if the Buyer's claims are justified.

4.8. Claims regarding the quantity and quality of the Product are not accepted after the Buyer has received the Product.

5. Rights and Obligations of the Parties.

5.1. The Seller undertakes:

5.1.1. To transfer the product to the Buyer in accordance with the terms of this Agreement and the Buyer's order.

5.1.2. Not to disclose any private information about the Buyer and not to provide access to this information to third parties, except in cases provided by law and during the fulfillment of the Buyer's Order.

5.2. The Seller has the right:

5.2.1. To change the terms of this Agreement, as well as prices for Products and services, unilaterally, by posting them on the Website. All changes take effect from the moment of their publication.

5.3. The Buyer undertakes:

5.3.1. To familiarize themselves with the content of the Agreement, the terms of the Agreement and the prices offered by the Seller on the Website before concluding the Agreement.

5.3.2. For the Seller to fulfill its obligations to the Buyer, the latter must provide all necessary data that uniquely identifies them as the Buyer and is sufficient for the delivery of the ordered Product to the Buyer.

5.3.3. To verify the compliance of the Product with qualitative and quantitative characteristics upon receipt of the Product and, in case of discovering defects, to immediately notify the Seller's representative or operator.

6. Liability.

6.1. The Seller is not liable for damage caused to the Buyer or third parties due to the Buyer's improper performance of the terms of this Agreement.

6.2. The Seller is not liable for improper or untimely performance of Orders and its obligations in case the Buyer provides false or erroneous information.

6.3. The Seller and the Buyer are liable for the performance of their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.

6.4. The Seller or the Buyer are released from liability for full or partial non-performance of their obligations if the non-performance is a consequence of force majeure circumstances such as: war or military action, earthquake, flood, fire, pandemics, epidemics, state of emergency or emergency situation, quarantine measures and other circumstances that arose independently of the will of the Seller and/or Buyer after the conclusion of this agreement. The party that cannot perform its obligations immediately notifies the other party thereof.

7. Confidentiality and Protection of Personal Data.

7.1. By providing their personal data on the Website during registration or Order placement, the Buyer gives the Seller their voluntary consent to the processing, use (including transfer) of their personal data, as well as to performing other actions provided for by the Law of Ukraine «On Personal Data Protection», without limitation of the validity period of such consent.

7.2. The Seller undertakes not to disclose information received from the Buyer. Disclosure of information by the Seller to its employees, counterparties and third parties acting on the basis of an agreement with the Seller, including for the fulfillment of obligations to the Buyer, as well as in cases where disclosure of such information is established by the requirements of the current legislation of Ukraine, is not considered a violation.

7.3. The Buyer is responsible for maintaining their personal data in an up-to-date state. The Seller is not liable for improper performance or non-performance of its obligations due to the irrelevance of information about the Buyer or its inconsistency with reality.

7.4. To ensure the operation of the Website and Mobile App, ensure information security, diagnose and troubleshoot errors, analyze service usage, and improve service quality and functionality, the Seller may collect and process technical and analytical data, including: device and operating system information, app versions, technical app instance identifiers or other pseudonymized identifiers, user interactions within the interface (e.g., opening screens, placing an order, using app features), as well as information about crashes, errors, and app performance. Such data is not used by the Seller for cross-site or cross-app tracking for advertising purposes. To process this data, the Seller may engage providers of analytics, error monitoring, hosting, and cloud infrastructure services, who process the data on the Seller's behalf and to the extent necessary to achieve the stated purposes. Detailed information on data categories, purposes and grounds for processing, storage periods, the list of persons to whom data may be transferred, as well as the rights of the personal data subject, is contained in the Privacy Policy/Personal Data Processing Policy posted on the Seller's Website.

8. Other Terms.

8.1. This agreement was concluded on the territory of Ukraine and is governed by the current legislation of Ukraine.

8.2. All disputes arising between the Buyer and the Seller are resolved through negotiations. In case of failure to resolve the disputed issue through negotiations, the Buyer and/or Seller have the right to apply to the judicial authorities for resolution of the dispute in accordance with the current legislation of Ukraine.

8.3. The Seller has the right to make changes to this Agreement unilaterally, as provided for in clause 5.2.1 of the Agreement. In addition, changes to the Agreement may also be made by mutual agreement of the Parties in the manner provided for by the current legislation of Ukraine.
